Abstract
The system of independent directors has become a significant mechanism for corporate governance in most countries,especially in developed countries.But the independent director system does not work very well in our country,one of the important reasons for which is lack of effective incentive mechanism for independent directors.The author compares the theory and practice of incentive mechanism for independent directors in our country and other countries from the three aspects of remuneration,reputation and law,hoping to provide decision-making reference for relevant sectors.
