Abstract
In this paper,the author researches the characteristics,efficiency and evolutionary tendency of two classical corporate governance patterns in western countries,analyses the present situation of the LCs'equity ownership structure and corporate governance in China ,and comes to the conclusions that in our country,the path of improving the LCs'corproate governance is to improve internal corporate governance firstly and in the future it should develop in the direction of mixed pattern which relies mainly on internal corporate governance and auxiliary on external corporate governance.
