The Characteristics of US Corporate Governance Manner and Its Implication for Chinese Enterprise Reform

Abstract

The United States corporate governance structure is based on America-British law system, Its principal characteristics are high level of ownership structure dispersion; ownership flows quickly; enterprise financing is mainly by direct ownership financing; in corporate governance, managers should be aware of income payment between external manager market and operating performance. From the middle of 90' s in the 20th century, corporate governance structure in US has experienced remarkable development and innovation. Study on institutional system and changes of corporate governance in US has provided precious experience to the reform of Chinese enterprise internal - external governance structure.
