Abstract

The institutional design of special ordinary partnership raised the risk of the other party of transaction and the cost of judiciary,although protected innocent partner with limited liability and promote professional services.The dual structure of liability in partners means uncertainty and interchangeability.This dual liability is horizontal and vertical,standing on the point that practicing partner is liable.
