Abstract
The Article 152 in China’s new Company Law clearly stipulates lawsuit system of shareholder representatives but does not have real system design.There is still a legislative blank about the determination and range of litigant of shareholder representatives,lawsuit position of a company and party position of the members of organizations.However,the solution to above problems determines legal effects of implementing shareholder representative lawsuit system and social benefits.The deep research into above problems and legislation perfection are of great significance.
