Abstract
Enterprise merger has double effects to the market competition.Antitrust regulation on merger is the main content of antimonopoly law.Since1890,U.S.A.has issued some laws,such as Clayton act,to regulate enterprise merger in order to prevent monopolization and to keep market effective competition.In order to make the antitrust operate easily,U.S.A.also has issued four merger guides.U.S.A.antitrust legislation and judicial practice show that U.S.A.enterprise merger mode has already been transformed by structuralism to behaviorism.
