On Cognizance of a Nominal Shareholder's Qualification

Although the shareholder's qualification acquirement system remains a focus of discussion in the judicial practice, it hasn't aroused the attention of the circle of company law and there're few relevant discussions. By analyzing the problems such as whether a company's defective behaviors in setting up can lead to invalidity, validity degrees of parties' private agreement and the industrial and commercial registration, whether a nominal shareholder's qualification can be recognized, etc, this paper sums up general principles in dealing with disputes of shareholders' qualification and then puts forward concrete countermeasures.
