Abstract

Recognition of a shareholder's qualification is the premise and basis for resolving all kinds of shareholder's dispute.Starting from the introduction of the relevant basic theory of the shareholder's qualification,this study focuses on the conception of shareholder's qualification.The initial condition and variation state of shareholder's qualification are introduced.Proofs are necessary for the qualification recognition.Author elaborates the significance and function of different proofs in recognizing qualification.Under the initial condition,it is necessary to distinguish the internal and external relationships in order to build different rules of qualification and to build particular rules for the hidden shareholders and shareholders who invest deficiently.Under the varying state,the qualification acquisition of a transferee need other shareholders,consent and modification of the registration.As a identity,the shareholder's qualification only can be acquired again,not acquired derivatively,such as inheriting.
