Abstract
The personality of the shareholder and company is independent,and the shareholder and the company have the civil subject position respectively.Generally,the company law of all countries provises that the shareholder undertakes the limited liability to the obligation of company.But the shareholder′s undertaking of the limited liability to the obligation of company is just in regard to general meaning,actually,the responsibility of shareholder to the obligation of company is more complicative,being not only limited by the limited liability,under some conditions,the shareholder still needs to undertake the unlimited liability to the company obligation.
