Abstract

The principle of limited liability principle is the basic law of the corporation institution. It has contributed very much to China's social and economic development, but at the same time, it also has brought some negative effects due to its inherent shortcomings. To change the current situation of the corporation legislation, we should define the scope, condition, and exception of the limited liability principle.
