Property rights of Corporate Entity and Corporate Governance

Exploring into the relationship between property rights of corporate entity and corporate governance,this paper expounds and analyzes the concept and nature of property rights of entity in Corporation Law of PRC.The author holds that as the integrated rights,property rights of entity include ownership of substantial property and that of property in other forms.Defining and establishing property rights of entity constructs the foundation and safeguard for corporate governance,and meanwhile generates and accomplishes check and balance of power in corporate governance.Further,such scientifically and effectively constructed and established corporate governance will maintain the status and entail the organizational guarantee of property rights of entity.Thenew Corporation Law has abolished the regulations on state ownership of state-owned property from theoldCorporation Law so as to lay foundation for establishing the modern corporate systems and scientific and rational corporate governance structure.
