Оцінка ефективності корпоративного управління на підприємстві // Corporate governance effectiveness evaluation at an enterprise

On the base of the conducted research the article proposes the essence of the term «corporate governance» as a system of norms, rules, methods, principles and modern management tools, the use of which provides effective functioning of an enterprise and the balance of the stakeholders. It is substantiated that it is expedient to use the social-economic approach for the corporate governance effectiveness evaluation. The author offers the directions of organization corporate governance evaluation within the social-economic approach. The author proposes to investigate the effectiveness of corporate governance within the social, economic and organizational effectiveness. Implementation of the offered process of the enterprise’s corporate governance evaluation allows defining state of enterprise and areas of imbalance of stakeholders’ interests in the development of an organization. The received information about the effectiveness of the corporate governance can be used to analyze state and prospects of further development of an enterprise. Implementation of the effective corporate governance system is aimed on the achievement of enterprise’s activity profitability, stable financial state, balance of stakeholders’ interests, and high level of corporate culture of the functioning structure. Also the evaluation of the corporate governance effectiveness within the social-economic approach makes it possible to determine the conformity of the management actions and owners of an organization to the strategic objectives within the strategy of development. В статті на основі проведеного дослідження запропоноване трактування поняття «корпоративне управління» як система норм, правил, методів, принципів, інструментів сучасного менеджменту використання яких забезпечує успішне функціонування підприємства і досягнення балансу інтересів зацікавлених сторін. Обґрунтовано, що для оцінки ефективності системи корпоративного управління доцільно використовувати соціально-економічний підхід. Автором запропоновано напрямки оцінки корпоративного управління організації в межах соціально-економічного підходу. Пропонуємо досліджувати ефективність корпоративного управління в межах соціальної, економічної та організаційної ефективності. Реалізація запропонованого процесу оцінки корпоративного управління підприємства дає змогу визначити стан суб’єкта господарювання та напрямки порушення балансу інтересів зацікавлених сторін в розвитку організації. Отриману інформацію про ефективність корпоративного управління можливо використовувати для аналізу стану та перспектив подальшого розвитку підприємства. Впровадження ефективної системи корпоративного управління націлене на досягнення прибуткового рівня діяльності підприємства, стійкого фінансового стану, балансу інтересів зацікавлених сторін, високого рівня корпоративної культури функціонуючої структури. Також, оцінка ефективності корпоративного управління в межах соціально-економічного підходу дає можливість визначити відповідність дій керівництва і власників організації цілям діяльності в межах обраної стратегії розвитку.
