Abstract

This chapter discusses the basics of Directors' and Officers' liability (D&O) insurance, tracing its historical development and identifying some of the early problems posed by D&O coverage. It also explains the different types of coverage of most D&O insurance packages, including coverage for individual directors and officers as well as coverage for the corporate entity itself for losses resulting from shareholder litigation.
