This article starts from the way how FDI spillover effect occurs,and then studies the influence mechanism of FDI spillover effect on independent innovation of China's distribution industry.FDI spillover effect will impact independent innovation of China's distribution industry through demonstration,competition,inter-industry and flow of human resources.And domestic distribution enterprises use social network and their absorptive capacity to digest foreign corporations' spillover and realize reinnovation.In order to take advantage of spillover effect to improve domestic firms' independent innovation capacity,government should make great effort in IPR,industrial policy reforming ro create a good policy environment,while domestic firms need reform sense,import talents and improve their absorptive capacity.
