Balance of Power and Responsibility: Director's Duty of Care-Management Judgment Principle

By explaining the birth and development of director's duty of care and management judgment principle, this thesis analyses the balance of power and responsibility which is the law-philosophical basis of the relationship between director's duty of care and management judgment rule. It also conducts an exploratory research on the possibility of adopting duty of care and management judgment principle in the company law in China. Furthermore, it suggests they become the supplement of Company Law.
