On the Criterions of Collateral Obligations Fundamental Breach of Commercial Contract

The criteria for determining fundamental breach of contract in commercial contracts include: the existence of valid contract between the parties,one or both of the parties act violation of the collateral obligations and breach of contract defeating the purpose of non-breaching party to the contract.It is noteworthy that,not as long as the party′s breach of contract caused the purpose of the contract of the other party lost,will inevitably constitute a fundamental breach of contract.The breach of basic purpose,unilateral goal,direct purpose and the initial purpose would constitute a fundamental breach of contract;the violation of the effect purpose and the subsequent purpose cannot constitute a fundamental breach of contract;indirect purpose,lateral purpose and mixed-purposes breach can constitute a fundamental breach of contract when it endangers the foundation of the contract.
