Abstract

Small and intermediate stockholder is a comparative concept to big stockholders in corporation law,referring to those with only small and intermediate ownership of shares.Generally speaking,small and intermediate stockholders belong to the weak group in the structure of a corporation's rights,declaring only small amounts of dividends and votes.With the development of corporations in the past one or two hundred years,more and more facts have been found about the big stockholders' abuse of rights to suppress small and intermediate stockholders and divest them of their interests and rights.In this case,corporation law in different countries intends to include some codes and statutes to protect small and intermediate stockholders' interests and rights.Also in this case,how to improve the codes and statutes has becomes the focus in corporation law to ensure small and intermediate stockholders' interests and rights.
