Abstract
It is a general rule that firms seek to maximize their profits.The profit maximization should confine itself in the legal boundary beyond which the other's interest and the social benefit may be broken.,The market mechanism,although functioning well in regulating the benefit conflicts among different economic bodies,is limited to some scope.Commercial law is a basic in guaranteeing profit maximization while the economic law is a primacy in taking the social benefit as a whole,both of which compose of a fully protective systemfor the profit maximization.
