Thoughts on the Amendment and Perfection of Corporation Law

China's current corporation law was born in transition period from planned economy to market economy. It inevitably has a few limitations. In light of the limitations,the paper puts forward the guiding notion of the amendment and perfection of corporation law:1.Emphasize corporate self-governance and deregulation;2.Not only emphasize the corporation and shareholder's maximizing profit, but also emphasize the responsibilities that corporation should undertake; 3. Practice the new corporate democratic idea;4.Put efficiency in priority and consider security. Furthermore,specific suggestions have been offered to the adopting of corporate principle, the perfection of corporate capital system, the improvement of the administrative ture of corporation,the strengthening of the litigiousness of corporation law.
