Abstract

The Company Law of China in October,2005 has established the shareholders'derivative litigation.Thepefore how to comprehend and apply this system correctly is the focus among learners and judges.The author applies the theory of company law to study the three complex problems: the prosecutor seniority of shareholder,the prepositive procedure and litigation result.
