Abstract

The issue of 'material personal interests' of company directors and other officers is discussed with reference to the case of 'Grand Enterprises Pty Ltd v Autrium Resources Ltd. The author advises company executives to take stock of their interests and assess which of them could be identified as 'material personal interests'. Company secretaries are advised to maintain a register of interests of directors, officers and key staff to avoid hasty or unnecessary disclosures and prevent potential breach of fiduciary duties.
