Abstract

Much analysis aimed at identifying the causes behind the financial crisis has led many to criticise corporate governance practices in the USA and the UK. Nonetheless relatively little attention has been paid to analysing the governance structure of companies as an underlying source of the crisis. To help fill this gap, this article offers a critique of the Anglo–American model and draws on stakeholder theory to offer an alternative corporate governance model.
